These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by ShopOMFG, Inc. ("ShopOMFG", "we", "us"), including the commerce platform available at www.shopomfg.com (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

ShopOMFG provides a software platform that lets merchants create online stores, list and sell products, manage orders and inventory, run marketing, and accept payments from their customers. We provide the software; merchants are responsible for the products they sell and the stores they operate.

2. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity that occurs under your account and for keeping your credentials secure. You agree to provide accurate information and to keep it current.

3. Merchant responsibilities

• You are solely responsible for the goods and services you sell, including their description, fulfillment, quality, and legality.
• You must comply with all applicable laws, including consumer protection, tax, export, and data protection laws.
• You must publish accurate store policies, including refund, return, and shipping terms, and honor them with your customers.
• You may not use the Service to sell prohibited or illegal goods, or for any fraudulent, deceptive, or abusive purpose.

4. Payments and fees

Payment processing is provided by third-party payment processors such as Stripe, subject to their terms. When a shopper pays a merchant, funds are settled to that merchant through the processor. ShopOMFG charges merchants a monthly subscription fee plus a per-order platform fee as described on our pricing page. You authorize us to charge the payment method on file for fees you incur. Processor fees, taxes, shipping, and other pass-through charges are billed at the provider's rate.

5. Acceptable use

You agree not to misuse the Service, including by attempting to disrupt it, access it without authorization, reverse engineer it, or use it to transmit malware or unlawful content. We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or others.

6. Intellectual property

The Service, including its software and design, is owned by ShopOMFG and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your own content and store data.

7. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or as required by law. On termination, your right to use the Service ends; certain provisions survive, including fees owed, limitations of liability, and dispute terms.

8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. To the maximum extent permitted by law, ShopOMFG will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose.

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use after changes take effect constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
